I think i was clear enough.

I'm using MS sidewinder 3d pro plus product ID 97462-579...., which has no GP to USB converter. At least stock version of same model ID doesn't. Also there are no conflicts.
Damn gameport is on I/O range 0201-0201, and since it's XP it does auto resource menagment ...

Double topic, xenocode is fake positive, or it at least used to be. But i dont remember that it was DW20.exe in my case before they tweaked avast not to report it.
